Choose Your Business Structure

We analyze your business goals to file for the exact framework that saves you operational costs and limits liabilities.

Private Limited Company

The most trusted corporate structure in India. Ideal for founders planning to raise external venture capital, issue equity shares, or build a scalable startup ecosystem. Requires a minimum of two directors.

Limited Liability Partnership (LLP)

Combines the professional benefits of a company structure with the internal operational flexibility of a traditional partnership firm. It carries lower statutory compliance costs, making it popular for services and trading businesses.

One Person Company (OPC)

Allows a single solo entrepreneur to manage a corporate body with limited personal liability. It gives you the market prestige of a private limited status without needing a co-founder or second director.

The Step-by-Step Incorporation Path

How we manage your file submissions across the Ministry of Corporate Affairs network smoothly:

01

DSC Setup

We secure certified Class-3 Digital Signature Certificates (DSC) for all your proposed directors to complete protected online filings.

02

Name Approval

We run thorough checks against existing trademark databases and submit your preferred brand names using RUN modules to ensure quick approval.

03

Spice+ Filing

We draft the custom Articles of Association (AOA) and Memorandum of Association (MOA) and file the core Spice+ frameworks with the central registrar.

04

Certificate Issuance

The government reviews the filing and issues your official Certificate of Incorporation, along with your corporate DIN codes, PAN, and TAN layout.

Basic Checklist of Required Documents

Gather these primary documents to initiate your online corporate profile creation:

For All Directors / Partners

  • Self-Attested PAN Card copy
  • Identity Proof (Aadhaar Card, Voter Card, or valid Passport)
  • Recent Bank Statement or Utility Bill showing your current address
  • Passport-sized photographs of all proposed directors

For the Registered Office Address

  • Proof of ownership or Tenancy/Rental Agreement copy
  • Recent electricity bill or property tax receipt for the office space
  • Formal No Objection Certificate (NOC) signed by the property owner

Post-Incorporation Compliance Information

Receiving your Certificate of Incorporation is a major milestone, but it's important to remember key follow-up requirements. Every newly formed entity must set up its corporate bank account, file for a Commencement of Business certificate within 180 days, and appoint its first statutory auditor. Missing these timelines can lead to early penalties from corporate registrars.

Frequently asked questions

Should I register a private limited company or an LLP?

A private limited company suits businesses that expect investors or need equity participation. An LLP suits professional firms and family businesses that want limited liability with lighter compliance. The choice affects compliance cost and exit options.

How long does registration take?

Once the name is approved and the documents are in order, incorporation is usually completed within a few weeks. Timelines depend on the Ministry of Corporate Affairs processing and on the accuracy of the papers filed.

What is needed before filing?

Digital signature certificates for the proposed directors, a director identification number, the proposed name, the objects, the capital structure, and the address proof of the registered office.

What compliance follows incorporation?

Appointment of the first auditor, statutory registers, annual filings, income tax and GST registration where applicable, and board meetings at the prescribed intervals.

Choosing the entity before registering it

Registration itself is a filing exercise; the decision that matters comes before it. A private limited company and a limited liability partnership both offer limited liability, but they differ in how they raise money, how they are taxed and how much they must file every year. Promoters who expect outside investment generally need a company, while professional firms that want limited liability without a heavy compliance load usually do better with an LLP.

RequirementPrivate limited companyLimited liability partnership
Minimum personsTwo directors and two shareholdersTwo designated partners
Ownership of the entityShares, freely transferable subject to the articlesPartners' interests, transferred as the deed provides
Annual filingsAnnual return, financial statements, board and general meeting recordsStatement of account and solvency, annual return
Suited to outside investmentYes, including equity and convertible instrumentsGenerally not equity investment
Where incorporatedThrough the MCA portal, with the jurisdictional office being the Registrar of Companies, West BengalSame portal and the same registrar

What incorporation involves

  1. Obtain a digital signature certificate for each proposed director or partner.
  2. Apply for the name through the portal, reserving a name that is not identical or too similar to an existing entity or a registered trade mark.
  3. File the incorporation documents, the memorandum and articles or the LLP agreement, along with the declarations and the registered office proof.
  4. Receive the certificate of incorporation, with the company identification number or the LLP identification number.
  5. Register for the tax identifiers that apply: the permanent account number, tax deduction account number, GST where the turnover thresholds are crossed, and professional tax and shops and establishment registration in West Bengal.

Documents that hold the entity together

Incorporation creates the entity; the agreements decide how it is run. The shareholders' agreement and, for an LLP, the partnership deed govern how decisions are taken, how a promoter exits, and what happens if a promoter dies or defaults. Where the business relies on specific individuals, the employment and confidentiality terms for those individuals matter as much as the constitution of the entity. A common failure is a shareholders' agreement that contradicts the articles of association, which is discovered only when a dispute arises and the two documents point in different directions.

What happens after the first year

Directors' identification numbers must be confirmed annually, accounts must be adopted and filed, and the returns must be filed within the statutory period. Notices from the registrar for non-filing carry automatic additional fees that increase with the delay, and a reply to such a notice should be filed with the underlying documents rather than as a bare denial. Where a company has ceased to function, the orderly route is striking it off or winding it up rather than allowing it to default.

Where incorporation usually goes wrong

The filing itself rarely fails. What fails is what follows: a shareholding pattern that does not match what the promoters agreed orally, a registered office that cannot produce the required proof when the registrar asks, or a business activity described so broadly that a later regulatory application is refused. Each of these is fixed at the start or not at all.

PointWhat to settle before filing
The nameThat it is not identical or too similar to an existing company, an LLP or a registered trade mark, and that it reflects the business
The shareholdingWho holds what, in what proportion, and what happens on the death of a promoter or on a transfer
The objectsA description of the business narrow enough to support later applications and broad enough to cover growth
The registered officeAn address for which the proof required by the registrar can actually be produced
The constitutionThe articles or the LLP agreement, drafted with the shareholders' or partners' arrangement and not independently of it

Converting from one form to another

Conversion is available in both directions — a partnership or a proprietorship into a company or an LLP, and an LLP into a company. The conversion has consequences for the tax position, for the contracts already entered into and for the licences already held. Licences granted to a proprietorship or a partnership do not automatically transfer to the new entity, and each issuing authority has its own procedure for recording the change. The conversion should therefore be planned around the licences, not the other way round.

What the registered office change involves

A change of registered office within the same city requires a board resolution, a filing with the registrar and an updated proof of address. A change from one state to another is a different and slower procedure and involves applications beyond the registrar. Each is a filing exercise, and the practical difficulty is almost always the proof of address rather than the legal step.

Annual filings that stop directors from acting

A director whose identification number is deactivated by reason of non-filing cannot be appointed or continue in another company until it is restored. This is the consequence that most often surprises promoters who have stopped filing for an inactive company. The remedy is to complete the pending filings and apply for restoration, which is done through the same portal and usually takes longer than the filings themselves.
