Keep your proprietary code, trade secrets, sensitive financial sheets, and client databases secure. We structure iron-clad, enforceable mutual or one-way Non-Disclosure Agreements that deter data theft and leakage.

Franchise Agreements

Scale your brand name or retail concept securely across West Bengal. We draft complete franchise legal structures covering precise royalty percentages, operational quality control standards, brand guidelines, and territorial rights management.

Service Agreements

Perfect for agencies, independent consultants, and B2B operators. We draft detailed Service Level Agreements (SLAs) specifying exact project deliverable definitions, milestone payment distributions, scope changes, and quick resolution procedures.

Website Terms & Privacy Policy

Ensure your e-commerce platform or corporate portal complies fully with the Information Technology Act and modern data protection standards. We design custom Terms of Service, user billing protocols, and comprehensive privacy statements to prevent compliance issues.

The Dangerous Pitfalls of Internet Templates

Copy-pasting free contract samples online can expose your business to significant risk. Most generic legal templates rely on international legal standards that are completely unenforceable inside Indian courts or local municipal blocks.

Vague & Ambiguous Terms

Unclear language makes it incredibly simple for a defaulting vendor or partner to find legal loopholes, delaying your recovery or asset protection process.

Incorrect Arbitration & Jurisdiction Hubs

If your contract doesn't explicitly name Kolkata as the exclusive jurisdiction hub, you could find yourself forced to travel to other states just to fight a basic payment dispute.

Our Strategic Drafting Approach

We sit down with you to understand your exact business workflow before writing a single sentence.

Every clause we draft is customized around your practical everyday interactions. This ensures that if a partner breaks a promise, your contract provides an undeniable, legally binding path to resolve the issue quickly and protect your bottom line.

Frequently asked questions

What documents does a commercial contract review cover?

The review covers the draft agreement, the correspondence that led to it, the stamp duty position, and the clauses on termination, indemnity, jurisdiction and dispute resolution. Each clause is flagged with the risk it creates and the alternative wording.

Is an electronic signature valid on a contract in India?

Yes. The Information Technology Act, 2000 recognises electronic signatures, and the Indian Contract Act does not require a physical signature. Registration and stamping requirements still apply to the categories of documents that need them.

Does an agreement have to be registered to be enforceable?

Not every agreement. Registration is compulsory for documents that create or transfer rights in immovable property, and an unregistered document of that kind is not admissible to prove the transfer.

What does drafting work cost?

Fees depend on the length and complexity of the document and whether negotiation is involved. A fixed quote is given after the draft is seen, and the first consultation is free.

The contracts most businesses actually use

Most commercial disputes turn on a small set of documents rather than on unusual ones. The purchase order and its terms, the services agreement, the employment and confidentiality terms, the loan or security documentation, the lease and, where the business is sold or invested in, the share purchase and shareholders' agreements. When these are inconsistent with each other — the invoice says one thing, the terms say another, and the purchase order says a third — the dispute is decided by which document the court treats as the contract.

DocumentTerms that carry the most weight
Services agreementScope and change control, acceptance of deliverables, payment terms, termination and the consequences of termination
Employment and confidentiality termsNotice period, restraint on using confidential information, invention and intellectual property assignment
Loan and security documentsEvents of default, acceleration, the security created and the right of enforcement without recourse to a court where lawful
Lease and leave and licenceTerm and renewal, rent escalation, the right to sublet, the conditions for termination and the deposit
Share purchase and shareholders' agreementsValuation and price adjustment, warranties and indemnities, reserved matters, exit and drag and tag rights

Drafting problems that end up in court

Ordering the documents

Where a transaction involves more than one instrument, the documents should be drafted as a set, with a defined order of precedence that says which one governs if they conflict. That single clause prevents most of the disputes that arise where the main agreement and the annexures do not match. Stamp duty on the instrument, and registration where the instrument creates or transfers an interest in immovable property, are also part of the drafting exercise rather than an afterthought.

Reviewing an existing contract

A contract review answers a narrower question than a negotiation: what can go wrong under this document, who bears the loss if it does, and what must be done before that happens. The review is usually returned as a marked-up draft with a short note of the risks in order of seriousness, so that the client can decide which points are worth negotiating.

To have a contract drafted or reviewed, send the draft or the transaction documents to the office, or call +91-9007000603. The first consultation is free.
